Trading Bridge Ltd – Terms & Conditions of Service

1. Our Role & Services

Trading Bridge Ltd (“we”, “us”, “our”) acts as a sourcing and coordination partner. We do not manufacture goods directly but facilitate:

  • Supplier and factory sourcing
  • Sample procurement and quality control
  • Price negotiation and quote assembly
  • Logistics arrangement via trusted third-party freight and customs agents
  • Door-to-door import coordination, typically using agents who act as the importer of record

We act as your project coordinator and agent throughout the process. In most cases, our logistics partners or shipping agents handle customs clearance and serve as the importer of record on your behalf for smooth delivery under DDP (Delivered Duty Paid) terms.

2. Coordination & Assurance Fees

All projects include a transparent Coordination & Assurance Fee, which is:

  • Tiered based on your order size
  • Agreed upfront or detailed in your quotation
  • Separate from product and shipping costs

We may also apply a modest markup on goods or freight to cover project management, local shipping and handling costs.

3. Quotations & Pricing

All pricing is:

  • Based on current exchange rates and freight costs at the time of quote
  • Subject to change unless payment is made
  • Valid for 7–14 days depending on supplier terms

We clarify whether product pricing is EXW, FOB, or DDP, and whether VAT/duties are included.

4. Payments

Unless otherwise agreed in writing:

  • 100% payment is required upfront before we begin any order or coordination work.
  • For larger or phased projects, we may agree in advance to milestone payments (e.g., 50% deposit + 50% before shipment).

All payments must be made in GBP via bank transfer to Trading Bridge Ltd. No work begins until funds are cleared.

5. Samples, Approvals & QC

Samples will be provided when available. It is your responsibility to review and approve them before mass production. We assist with quality control (QC), including images, videos, and third-party inspections when arranged. Final product acceptance remains your responsibility.

6. Shipping & Importation

We arrange shipping through trusted freight partners and customs agents. Most shipments are handled on a DDP (Delivered Duty Paid) basis, meaning:

  • Our appointed agents manage customs clearance
  • They act as the importer of record when required
  • VAT and duties are included in your quotation if DDP is selected

However:

  • Transit times are estimates only and not guaranteed
  • Delays caused by customs or port congestion are outside our control
  • You are responsible for ensuring delivery access, receiving goods, and any local fees not covered under DDP

7. Cancellations & Refunds

Once payment is received and goods are ordered:

  • Orders cannot be cancelled unless factories agree (rare after production starts)
  • Refunds are only available where services have not yet been delivered or committed

8. Limitation of Liability

Trading Bridge Ltd is not liable for:

  • Product quality issues outside the agreed QC scope
  • Loss, damage, or delay caused during shipping
  • Consequential losses such as missed sales or project delays

Our total liability is capped at the Coordination & Assurance Fee paid for that project.

9. Intellectual Property

You retain ownership of your designs and branding. Any factory prototypes or files remain with the factory unless otherwise agreed. We treat your designs and product specs as confidential.

10. Governing Law

These Terms are governed by the laws of England and Wales. Disputes will be resolved through good-faith negotiation or, if unresolved, in English courts.
